Banca Popolare dell’Emilia Romagna soc. coop. is the holding company of the BPER banking group, which is made up of the holding company itself and the various banking, financial and service companies directly or indirectly controlled by it.

The administration and control system adopted by the holding company and the BPER Group’s other companies and banks is of the conventional type, with two bodies, both of them appointed by the General Meeting: the governing body (in our case, so far as the banks and/or listed companies are concerned, a Board of Directors) and the “Board of Statutory Auditors” (Collegio Sindacale), whose duty it is to supervise the running of the company.

As the banking group’s holding company and in performing its duties of guidance and coordination, BPER sees to it that its subsidiaries comply with the various instructions issued by the country’s central bank (Banca d'Italia) in the interests of the sound management of the Group. A draft scheme of corporate governance is currently being prepared.
