The companies in the BPER Group have maintained a traditional system.


The banks in the BPER Group have maintained the traditional system of management and control pursuant to paragraphs 2, 3 and 4 of Section VI-bis, Chapter V, Title V, Book V of the Italian Civil Code, based on the presence of a Board of Directors and a Board of Statutory Auditors, whose members are appointed by the Shareholders’ Meeting.





 
Board of Directors
 
The Board of Directors of Banca Popolare dell'Emilia Romagna and the banks in the BPER Group is an administrative body appointed by the shareholders’ meeting, with executive and management functions.
 
 
Board of Statutory Auditors
 
The Board of Statutory Auditors is a control body which supervises compliance with the law provisions, regulations and the articles of association, as well as compliance with the principles of correct administration.
 
 
Shareholders' Meeting
 
The Shareholders’ Meeting is the collective body which takes corporate decisions, according to a majority vote.
